Kinerix Pilot Terms of Service<br>Effective Date: June 14, 2026

1. Acceptance of Terms

By accessing or using the Kinerix platform pilot release ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Eligibility and Account Access

You must provide accurate age and identity information during onboarding. If you are under the age of 13, you may only use the Service if your parent or legal guardian provides verifiable parental consent through our authorized third-party verification portal. Guardians who authorize access for a minor assume full responsibility for the minor's use of the Service.

3. Nature of the Service

Kinerix is a fitness and athletic training platform, not a healthcare provider. Kinerix collects fitness, wellness, readiness, assessment, and workout information. Kinerix does not collect medical records, diagnoses, medications, treatment information, injury-history records, or clinical-care data, and is not a medical service. Any assessments, wellness tracking, or movement analytics provided by the Service are for general fitness and training purposes only. You should consult a physician before beginning any new athletic training program.

4. Child Safety, Communications, User Content, and Reporting

Kinerix is designed as a supervised youth athletic-development platform. Kinerix does not allow minor athletes to send free-form messages, upload media, participate in peer-to-peer chat, post public comments, or exchange attachments through the app.

Messages shown to minor athletes are limited to platform-authored templates or other controlled product messages. Adults may use communication tools only for permitted supervisory, training, family, or account-related purposes. Kinerix may restrict, review, block, preserve, or remove communications or accounts where necessary to protect users, enforce these Terms, support platform safety, or comply with legal obligations.

Kinerix does not currently provide user-submitted media features for minor athletes. Minor athlete avatars are limited to platform-provided options unless Kinerix expressly enables a different parent-controlled feature in the future. If Kinerix later introduces user-submitted media or additional communication features, Kinerix may use automated safety tools, human review, hash-matching technologies, reporting workflows, and other protective measures as appropriate.

Kinerix maintains reporting, blocking, and safety-escalation tools. If Kinerix becomes aware of content, conduct, or circumstances that may require reporting to law enforcement, the National Center for Missing & Exploited Children, or another appropriate authority, Kinerix may preserve and disclose information as required or permitted by law.

Kinerix does not promise that every communication, report, or safety concern will be detected before it is submitted or reviewed. Users must not misuse Kinerix to send harmful, abusive, exploitative, unlawful, or unsafe content or communications.

5. Pilot Status; Service Availability

Kinerix is currently offered as a pilot service. Features may change, be limited, be unavailable, or be discontinued during the pilot. Kinerix may modify, suspend, or remove pilot features as we test, improve, secure, or operate the Service.

Kinerix does not guarantee that the Service will be uninterrupted, error-free, available at all times, compatible with every device or wearable, or free from data-entry, import, calendar, notification, or syncing errors. During the pilot, users should not rely on Kinerix as the only copy of any training records, imported files, schedules, or other information.

To the maximum extent permitted by law, Kinerix is not responsible for interruptions to the Service, loss of user-imported training files, loss of access, device or integration issues, or pilot feature changes.

6. Physical Activity Risks; User and Guardian Responsibilities

Kinerix provides fitness, athletic-development, and training-support tools. Athletic training and physical activity involve inherent risks. These risks may include soreness, fatigue, overexertion, muscle strain, joint discomfort, falls, collisions, equipment misuse, environmental hazards, property damage, and other injuries or unexpected events.

You are responsible for deciding whether you or your child can safely participate in any activity shown in the Service. If you are a parent or legal guardian, you are responsible for supervising your minor child's use of Kinerix and any training performed through or based on the Service.

Kinerix may adapt workouts based on information available to the Service, such as age, training history, readiness state, or other inputs. Kinerix does not control the place where training occurs, the available equipment, the surface, weather, footwear, hydration, behavior, supervision, or how any exercise is performed.

You are responsible for making sure the training area, equipment, conditions, and supervision are safe and appropriate. Do not perform, and do not allow a child to perform, any exercise that cannot be done safely or that is not appropriate for the person, place, equipment, or circumstances.

Stop activity immediately if you or your child experiences pain, dizziness, unusual discomfort, shortness of breath beyond normal exercise, unsafe movement, unsafe conditions, or any other concern. For medical concerns, injuries, symptoms, or questions about whether exercise is appropriate, consult a qualified professional.

Kinerix may block or modify training when the Service has information indicating that training should not proceed. However, the absence of a block, safety gate, readiness restriction, warning, or notification does not mean that an activity is risk-free, medically appropriate, or safe for every person or situation.

By using the Service, you acknowledge the inherent risks of athletic training and physical activity, and you agree to use the Service responsibly and consistently with these Terms, all instructions shown in the Service, and any applicable supervision responsibilities.

7. Additional Feature Acknowledgments

Some Kinerix features may require additional acknowledgments before use. For example, family-session generation may require a parent or guardian supervision acknowledgment before a family workout is generated.

Those feature-specific acknowledgments supplement these Terms. They do not replace these Terms, waive any non-waivable rights, or allow any user to override a Kinerix safety gate, readiness restriction, parent pause, or other restriction shown in the Service.

Youth Movement-Method Features. For eligible athletes in supervised programs, a coach, trainer, or organization administrator may enable technique-first movement-method progressions for ages 15–18 or low-load foundational movement-prep progressions for ages 12–14. These features are shown only when Kinerix's server-side readiness, safety, progression, age-band, authorization, and role-visibility checks allow; require parent/guardian visibility; and, for ages 12–14, require affirmative guardian consent before anything is shown. Consent may be withdrawn at any time. These features support supervised athletic training focused on control, coordination, landing, movement quality, and technique, and are not advanced methods, heavy lifting, weighted throwing, maximal training, injury prevention, rehabilitation, diagnosis, treatment, return-to-play clearance, or medical advice (§8), and carry no guarantee (§9). A coach's decision to enable a feature is not medical clearance and does not override Kinerix's safety state.

8. Fitness and Training Only; No Medical Advice

Kinerix is provided for general fitness, athletic-development, training, and wellness-support purposes only. Kinerix is not a healthcare provider, medical device, clinical service, injury-risk screening service, diagnosis tool, treatment plan, rehabilitation plan, or substitute for advice from a qualified professional.

Kinerix does not diagnose, treat, cure, prevent, or screen for any disease, injury, medical condition, or health condition. Kinerix does not provide medical clearance, return-to-play clearance, injury-prevention certification, or medical recommendations.

You should consult a qualified professional before beginning a new athletic training program, returning to activity after pain or injury, changing training because of a medical concern, or using the Service in connection with symptoms, injury, rehabilitation, or health questions.

9. No Guarantees

Kinerix does not guarantee any athletic, fitness, wellness, health, safety, readiness, training, competition, performance, or developmental result.

Kinerix does not guarantee that use of the Service will improve performance, prevent injury, identify unsafe conditions, detect all concerns, avoid overtraining, ensure readiness, or make any activity safe or appropriate.

Training decisions should be made with appropriate adult supervision, good judgment, and, when needed, input from a qualified professional.

10. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

Kinerix disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted or error-free operation.

Kinerix does not warrant that the Service, training programs, recommendations, readiness states, notifications, integrations, data imports, calendar connections, wearable connections, reports, or other features will be accurate, complete, timely, secure, uninterrupted, or free from errors.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, the disclaimers in this section apply only to the maximum extent permitted by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NextRep Athletics Technologies LLC, its affiliates, officers, directors, employees, contractors, practitioners, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising out of or relating to the Service, these Terms, or any training programs, features, communications, notifications, integrations, or content made available through the Service.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Kinerix has been advised of the possibility of such damages.

To the maximum extent permitted by law, Kinerix is not liable for injuries, property damage, losses, or claims arising from: unsafe exercise performance or execution; unsafe equipment, space, surface, weather, footwear, hydration, supervision, or environment; failure to stop activity when pain, symptoms, unusual discomfort, or unsafe conditions occur; failure to follow instructions, restrictions, safety gates, readiness restrictions, parent pauses, or other notices shown in the Service; user-provided information that is inaccurate, incomplete, delayed, or not updated; use of the Service for medical, clinical, rehabilitation, diagnosis, treatment, injury-screening, or return-to-play purposes; or use of the Service contrary to these Terms or the instructions shown in the Service.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, intentional wrongdoing, or other liability that applicable law does not allow to be limited or excluded.

12. User Responsibility and Indemnification

You agree to use the Service only for lawful, authorized, and appropriate purposes.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NextRep Athletics Technologies LLC, its affiliates, officers, directors, employees, contractors, practitioners, licensors, service providers, and agents from and against claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: your misuse of the Service; your violation of these Terms; information, content, instructions, or materials you submit or provide through the Service; unauthorized access to or use of your account; your failure to supervise a minor where you are responsible for supervision; unsafe training conditions, equipment, environment, or execution under your control; or your violation of any law or the rights of another person.

This indemnification obligation does not require you to indemnify Kinerix for claims to the extent caused by Kinerix's gross negligence, willful misconduct, intentional wrongdoing, or other conduct for which indemnification is prohibited by applicable law.

13. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

If any limitation of liability, warranty disclaimer, risk acknowledgment, indemnification provision, or dispute provision is limited or held unenforceable, it will be interpreted and enforced to the maximum lawful extent, and the rest of these Terms will continue to apply.

14. Updates to These Terms

Kinerix may update these Terms from time to time. When we make material changes, we will update the effective date and provide notice as required by law or as appropriate for the change.

If a change materially affects your rights, responsibilities, or use of the Service, Kinerix may require you to review and accept the updated Terms before continuing to use some or all features of the Service.

If you are a parent or legal guardian managing a minor athlete account, Kinerix may require your acceptance of updated Terms before continued use of minor-linked training features.

15. Termination and Account Closure

You may terminate this agreement at any time by utilizing the in-app account closure functions. Kinerix reserves the right to suspend or terminate your access to the Service for violation of these Terms. Upon termination, your data will be handled in accordance with our Privacy Policy, including our asymmetric practitioner-retention framework.

## Readiness Checks (Co-Pilot)

When a parent, guardian, or authorized adult completes a readiness check, that person is providing observable readiness information only. The readiness check is not medical advice, medical clearance, a diagnosis, or a guarantee that training is safe. Kinerix uses the submitted information to determine whether a planned session may proceed, should be modified, or should remain blocked. A safety restriction or RED/BLOCK state cannot be overridden through a readiness check.

## Parent and Guardian Safety Notices

For child accounts, Kinerix may use parent or guardian contact information to send safety, readiness, account, and required-adult-action notices related to the child's account and training activity. These notices may include limited information necessary to identify the child, describe the safety or readiness state, and state the action required. Kinerix uses this information only as needed to support the child's account, safety-related training restrictions, readiness checks, and required parent or guardian actions. Kinerix does not include broader child information in these notices than is reasonably necessary for that purpose.

## No Override of Safety State

No user, including a parent, guardian, coach, trainer, or athlete, may override a Kinerix safety restriction or RED/BLOCK state through a readiness check, preference setting, or other action in the app.

## Parent and Guardian Responsibility

Parents and guardians remain responsible for monitoring their child's condition and seeking advice from a qualified professional for medical concerns, pain, injury, illness, or other health issues.

## No Outcome Guarantee

Kinerix does not guarantee that any training plan, readiness check, safety state, notification, or app feature will prevent injury or ensure that an athlete can train safely.

## Notification Delivery

Certain safety and required-adult-action notices cannot be turned off inside Kinerix and will remain visible in the app. Push notifications and emails are additional delivery methods and may be affected by device settings, notification permissions, Focus or Do Not Disturb settings, network conditions, email-provider filtering, account settings, or other factors outside Kinerix's control. Kinerix does not guarantee delivery of push notifications or emails.
